Bas’ area of expertise is twofold. On the one hand, his practice focuses on corporate taxation, assisting companies in M&A transactions (restructuring, acquisition transactions, contract guidance and real estate transactions). On the other hand, he assists entrepreneurs in devising the appropriate asset and succession planning to ensure the continuity of both the family business and family assets.

 

Bas recently dealt with the following cases, among others:

  • Drafting and monitoring loan agreements, secured by a layered security structure with mortgages, personal guarantees and purchase option;
  • The restructuring of several corporate groups in order to separate the operational activities from the group’s real estate, either to enable external investments in the individual branches or to prepare the corporate group for transition to the next generation from a fiscal perspective;
  • Supervising divorce proceedings with a significant tax and corporate law component;
  • Devising and assisting in asset planning where the generational transition of large real estate portfolios is organised in a tax-friendly manner;
  • Assisting start-ups in retaining their accrued tax losses in the context of a reorganisation involving control changes.
